These Terms and Conditions are a legal agreement between you and Parent Homework Buddy, LLC. Please read them carefully before using our website, creating an account, or purchasing a product or service.

 

1. Acceptance of Terms

Welcome to Parent Homework Buddy, LLC, referred to in these Terms as “PHB,” “we,” “us,” or “our.”

 

These Terms and Conditions, referred to as the “Terms,” govern your access to and use of:

 

  • Our website located at www.parenthomeworkbuddy.com , referred to as the “Site”

  • PHB Homework Fundamentals and any other digital courses

  • Videos, workbooks, parent notes, conversation toolkits, templates, downloads, and other educational materials

  • Physical products sold through the Site

  • Community features, reviews, comments, or other interactive services, when available

  • Any other products, programs, content, or services offered by PHB

 

Together, these are referred to as the “Services.”

 

By accessing the Site, creating an account, submitting information, or purchasing or using the Services, you agree to be bound by these Terms and our Privacy Policy.

 

If you do not agree to these Terms, do not access or use the Services.

 

2. Eligibility and Adult Accounts

 

The Services are intended for parents, legal guardians, caregivers, educators, and other adults who are at least 18 years old.

You must be at least 18 years old and legally capable of entering into a binding agreement to:

 

  • Create a PHB account

  • Purchase Services

  • Submit personal information

  • Participate in interactive features

  • Agree to these Terms

 

By creating an account or making a purchase, you represent that you meet these requirements.

 

PHB’s Services are designed for adults who support children. Children may view course content or participate in activities only under the supervision and direction of a parent, legal guardian, or other responsible adult.

 

Children under 13 may not independently create an account, make a purchase, submit personal information, post content, communicate with PHB, or use interactive features on the Site.

 

Parents and legal guardians are responsible for supervising their children’s use of PHB materials.

 

3. Description of Services

 

PHB provides educational content designed to help parents and caregivers support children’s homework habits, learning routines, emotional regulation, independence, and broader learning skills.

 

PHB’s Services include PHB Homework Fundamentals, a digital course currently offered for a one-time purchase price of $87, unless a different price, discount, promotional offer, or bundle is clearly displayed on the applicable sales page and at checkout.

 

The Services may include:

 

  • Pre-recorded video instruction

  • Digital interactive workbooks

  • Parent notes and reference materials

  • Conversation toolkits

  • Printable templates and activities

  • Articles, newsletters, and short educational videos

  • Parent-support resources

  • Optional physical companion notebooks or other products

  • Community or interactive features, when available

 

Specific products, included materials, access periods, prices, and features will be described on the applicable product or sales page.

 

PHB may add, update, replace, reorganize, or discontinue portions of the Services as described in these Terms.

 

4. Educational and Professional Disclaimer

 

PHB provides general educational information and parent-support strategies.

 

PHB does not provide:

 

  • Individualized educational assessments

  • Academic diagnoses

  • Medical or mental-health diagnoses

  • Treatment plans

  • Therapy or counseling

  • Special-education services

  • Legal advice

  • Medical advice

  • Mental-health advice

  • Crisis intervention

  • Emergency services

 

PHB is not a substitute for your child’s teacher, school, pediatrician, therapist, psychologist, counselor, educational specialist, attorney, or another appropriately qualified professional.

 

PHB is not affiliated with or endorsed by any school, school district, government agency, educational institution, or professional organization unless that relationship is expressly stated in writing.

 

Parents and legal guardians remain responsible for:

 

  • Deciding whether a PHB strategy is appropriate for their child

  • Supervising their child’s use of the materials

  • Monitoring their child’s safety and well-being

  • Communicating with teachers and other professionals

  • Seeking individualized support when needed

  • Making final decisions regarding their child’s education, health, and care

 

You should consult an appropriate qualified professional when a child experiences persistent or significant academic, behavioral, developmental, emotional, psychological, or medical concerns.

 

PHB does not guarantee improvements in grades, test scores, homework completion, behavior, emotional regulation, independence, family relationships, academic confidence, or any other result. Every child and family is different, and results will vary.

 

PHB does not provide crisis or emergency services. If you believe that a child or another person is in immediate danger, contact emergency services or an appropriate qualified professional.

 

5. Purchases, Payment, Taxes, and Order Acceptance

 

5.1 PHB Homework Fundamentals Purchase

Unless otherwise clearly stated on the applicable sales page and checkout screen, PHB Homework Fundamentals is offered as a one-time digital-course purchase for $87.

 

The final purchase price, including any applicable discount, promotional price, sales tax, shipping charge, or additional fee, will be displayed before you submit payment.

 

Your purchase does not include a recurring subscription or automatic renewal unless you separately and affirmatively enroll in a plan that clearly states that recurring charges apply.

5.2 Prices

 

PHB may change its prices, offer promotional pricing, create product bundles, or discontinue an offer at any time.

 

Changes will not affect a purchase that has already been completed. If a promotional price is offered after your purchase, PHB is not required to refund the difference unless otherwise stated.

 

Unless otherwise indicated, prices do not include applicable taxes, shipping charges, or other fees. Applicable charges will be displayed at checkout.

 

5.3 Payment Processing

 

Payments are processed securely through Wix Payments or another third-party payment processor.

 

When you make a purchase, PHB may receive or maintain information associated with your transaction, including:

 

  • Your name

  • Your email address

  • Your billing and shipping information

  • The product purchased

  • The purchase amount

  • The transaction date

  • Payment status

  • Limited payment details supplied by the payment processor, such as the payment method type or the last four digits of a card

 

PHB does not directly collect or store your complete credit-card or debit-card number. Full payment information is collected and processed by Wix Payments or another authorized payment processor according to that provider’s terms and privacy practices.

 

You authorize PHB and its payment processor to charge the payment method you provide for the total amount displayed at checkout.

 

You represent that:

 

  • The information you provide is accurate and complete

  • You are authorized to use the selected payment method

  • You will pay all charges associated with your order

5.4 One-Time Purchases

 

Unless a product page and checkout screen clearly state otherwise, PHB course purchases are one-time purchases and are not automatically renewed.

 

5.5 Order Acceptance

 

Submitting an order does not guarantee that the order will be accepted.

 

PHB may refuse, limit, or cancel an order before fulfillment for legitimate business reasons, including:

 

  • Suspected fraud or unauthorized payment activity

  • Payment failure

  • Product unavailability

  • Incorrect pricing

  • Incorrect product descriptions

  • Duplicate orders

  • Technical errors

  • Violation of these Terms

If PHB cancels an order after payment has been collected, PHB will issue an appropriate refund to the original payment method.

 

5.6 Pricing and Description Errors

 

PHB makes reasonable efforts to provide accurate prices and product descriptions. However, errors may occasionally occur.

 

PHB may correct an error and cancel an affected order before fulfillment. If an order is canceled because of an error, any amount collected for that order will be refunded.

 

6. Digital Course Access

After successful payment, you will receive access to the applicable digital course or materials through your PHB account or another delivery method identified at checkout.

 

Unless a product page expressly provides a different access period, access to a purchased digital course will be available for a minimum of 12 months from the date of purchase.

 

Digital access is:

 

  • Limited to the purchasing user and the user’s household

  • Non-exclusive

  • Non-transferable

  • Revocable if these Terms are materially violated

  • Subject to the permitted-use provisions below

 

You may not sell, transfer, gift, sublicense, or share your account or course access with another household.

 

PHB may update course videos, downloads, lessons, templates, or other materials during the access period. Updates may include corrections, improvements, replacement resources, revised formatting, or reorganized content.

 

PHB may discontinue a course or digital product. If PHB permanently discontinues a purchased course during its stated access period, PHB may provide an appropriate remedy, such as:

 

  • Reasonable advance notice

  • Continued access for a limited period

  • Downloadable replacement materials

  • Substitute content

  • Store credit

  • A partial or full refund, when appropriate

 

The remedy provided will depend on the circumstances and any rights available under applicable law.

 

You are responsible for downloading any materials specifically designated as downloadable before your access expires.

 

7. Limited License and Permitted Household Use

PHB grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services you have properly purchased.

 

This license is for your personal or household educational use only.

 

You may:

 

  • View course videos within your own household

  • Use course strategies with your own child or children

  • Download materials that PHB designates as downloadable

  • Print designated materials in reasonable quantities for use within your own household

  • Save permitted downloads for your personal household use

 

You may not:

 

  • Share your account credentials

  • Allow individuals outside your household to use your account

  • Copy, record, reproduce, or download course videos unless expressly permitted

  • Sell, resell, sublicense, or redistribute PHB materials

  • Upload PHB materials to another website, platform, shared drive, social-media account, group, or file-sharing service

  • Email or electronically distribute PHB materials to other families

  • Remove copyright, trademark, attribution, or ownership notices

  • Modify PHB materials and present them as your own

  • Create competing courses, workbooks, products, or derivative materials from PHB content

  • Use PHB materials for commercial training, paid tutoring, coaching, therapy, consulting, or professional services without written permission

  • Use one household license for a classroom, school, childcare center, tutoring business, therapy practice, parent group, nonprofit organization, or other organization

 

Educators, tutors, schools, therapists, childcare providers, organizations, and other professionals must obtain an appropriate professional or organizational license before using PHB materials with multiple families, students, clients, classrooms, staff members, or program participants.

 

No ownership interest in PHB content is transferred to you.

8. Physical Products and Shipping

PHB may offer physical products, including companion notebooks, printed materials, or other merchandise.

8.1 Shipping Charges and Estimates

 

Shipping charges and estimated delivery timeframes will be displayed at checkout when available.

 

Delivery dates are estimates and are not guaranteed. PHB is not responsible for carrier delays or events outside PHB’s reasonable control.

8.2 Shipping Information

You are responsible for providing a complete and accurate:

 

● Name

● Shipping address

● Billing address

● Email address

● Other required order information

 

Contact PHB as soon as possible if you discover an error in your shipping information. PHB cannot guarantee that an address can be changed after an order has entered processing or has shipped.

 

Additional shipping costs caused by an incorrect or incomplete address may be the customer’s responsibility.

8.3 Lost, Delayed, or Misdelivered Packages

PHB is not responsible for ordinary carrier delays outside its reasonable control.

 

However, if tracking information indicates that an order was lost, damaged, or delivered incorrectly, contact PHB at jessie@parenthomeworkbuddy.com. PHB will review the available information and determine an appropriate resolution.

 

PHB may require reasonable documentation, including photographs, tracking information, or confirmation of the shipping address.

 

9. Refunds, Returns, and Replacements

 

9.1 PHB Homework Fundamentals Refund Policy

You may request a refund for your PHB Homework Fundamentals purchase within 14 calendar days of the original purchase date by contacting Jessie at jessie@parenthomeworkbuddy.com.

 

Your refund request must include:

 

  • Your name

  • The email address associated with your purchase

  • The purchase date

  • The name of the course

  • Your reason for requesting a refund

 

Because PHB Homework Fundamentals is a digital product that provides access to videos, downloadable materials, workbooks, parent notes, and other proprietary resources, PHB may deny a refund when:

 

  • The request is submitted more than 14 calendar days after purchase

  • A substantial portion of the course has been accessed, viewed, or completed

  • A substantial portion of the included materials has been downloaded

  • Course materials have been copied, shared, distributed, reproduced, or misused

  • The purchaser has violated these Terms

  • The purchaser has previously received a refund for the same or a substantially similar PHB product

  • PHB reasonably identifies fraud, refund abuse, or unauthorized account sharing

 

PHB will review eligible refund requests in good faith.

 

Approved refunds will be returned to the original payment method. The time required for the refund to appear may depend on Wix Payments, the purchaser’s financial institution, or another applicable payment provider.

 

A refund ends your license to access and use the refunded course. PHB may immediately remove account access to the course and its associated materials after a refund is approved.

 

Nothing in this section limits any refund, cancellation right, or remedy that must be provided under applicable law.

 

9.2 Physical-Product Returns

 

Unused physical products may be returned within 30 calendar days after confirmed delivery.

 

To qualify for a return, the product must be:

 

● Unused

● Unmarked

● Undamaged

● In its original condition

● Returned in its original packaging when reasonably possible

 

You must contact PHB at jessie@parenthomeworkbuddy.com before returning a product. Do not send a return without first receiving return instructions.

 

Unless the product was damaged, defective, or incorrect when delivered, the customer is responsible for return shipping costs.

 

Original shipping charges are nonrefundable unless required by law or the return resulted from an error by PHB.

 

9.3 Damaged, Defective, or Incorrect Products

Contact PHB within seven calendar days after delivery if a product arrives damaged, defective, or incorrect.

 

PHB may request:

 

  • Photographs of the product

  • Photographs of the packaging

  • The order number

  • A description of the issue

  • Other reasonable documentation

 

After reviewing the claim, PHB may provide a replacement, refund, store credit, or another appropriate remedy.

 

9.4 Nonreturnable Items

The following items are generally not eligible for return unless damaged, defective, incorrect, or otherwise required by law:

 

● Used or marked physical products

● Personalized products

● Final-sale items identified before purchase

● Digital downloads that have been substantially accessed or downloaded

● Gift cards, when offered

 

10. Accounts and Account Security

 

You may be required to create an account to access certain Services.

 

You agree to provide accurate, current, and complete account information and to update that information when necessary.

 

You are responsible for:

 

● Maintaining the confidentiality of your username and password

● Restricting access to your device and account

● All activity conducted through your account

● Promptly notifying PHB of suspected unauthorized access

 

You may not:

 

● Create an account using false information

● Impersonate another person

● Use another person’s account

● Share your account credentials outside your household

● Attempt to bypass account or access restrictions

● Create multiple accounts to avoid purchase requirements or enforcement actions

 

Contact PHB promptly at jessie@parenthomeworkbuddy.com if you believe your account has been accessed without authorization.

 

11. Suspension and Termination

 

PHB may investigate suspected violations of these Terms.

 

PHB may suspend, restrict, or terminate an account or access to the Services when PHB reasonably believes that a user has:

 

● Shared course access or login credentials outside the permitted household

● Copied, resold, distributed, or publicly posted PHB content

● Infringed PHB’s or another party’s intellectual-property rights

● Engaged in fraud, payment abuse, or chargeback abuse

● Attempted to gain unauthorized access to the Site

● Harassed, threatened, or harmed another person

● Uploaded malicious code

● Disrupted the operation or security of the Site

● Submitted unlawful or prohibited content

● Materially violated these Terms

 

When reasonable under the circumstances, PHB may contact the user and provide an opportunity to correct the issue before terminating access.

 

PHB may terminate access immediately when necessary to protect users, PHB, the Site, or another person.

 

A user whose access is terminated because of a material violation of these Terms may not be entitled to a refund.

 

Provisions relating to intellectual property, payment obligations, limitations of liability, indemnification, dispute resolution, and other provisions that should reasonably survive termination will remain in effect.

 

12. Intellectual Property and Ownership of PHB Content

PHB retains all ownership rights in its original content and educational materials.

 

The Site and Services, including PHB-created:

 

● Course videos and recordings

● Lesson content

● Digital and interactive workbooks

● Parent notes

● Conversation toolkits

● Worksheets

● Printables

● Templates

● Routines and educational frameworks

● Graphics and illustrations

● Written articles and website copy

● Audio content

● Photographs

● Logos

● Brand names

● Slogans

● Course and product names

● Marketing materials

● Website design elements

 

are owned by or licensed to Parent Homework Buddy, LLC and are protected by applicable copyright, trademark, trade-dress, and other intellectual-property laws.

 

Your purchase of PHB Homework Fundamentals or another PHB product gives you a limited license to use the purchased content. It does not transfer ownership of the course or any PHB intellectual property to you.

 

Subject to these Terms, PHB grants you a limited, revocable, non-exclusive, non-transferable license to access and use purchased PHB content for your own personal and household educational use.

 

You may not, without PHB’s prior written permission:

 

● Copy or record course videos

● Reproduce or distribute course lessons

● Share downloadable materials outside your household

● Post PHB materials online or on social media

● Upload materials to a shared drive, group, website, platform, or file-sharing service

● Sell, resell, license, sublicense, or give away PHB content

● Remove copyright, trademark, attribution, or ownership notices

● Modify PHB content and represent it as your own

● Create derivative products, courses, workbooks, workshops, or training materials based on PHB content

● Use PHB materials in paid tutoring, coaching, consulting, therapy, professional development, classroom instruction, or commercial services without an appropriate written license

 

You may print materials specifically designated as printable in reasonable quantities for use with children within your own household.

 

Educators, tutors, schools, therapists, childcare providers, parent groups, businesses, nonprofit organizations, and other professionals or organizations must obtain an appropriate professional or organizational license before using PHB content with multiple families, students, clients, classrooms, employees, or program participants.

 

Some elements of the Site may include licensed third-party materials, such as Wix platform features, fonts, stock photography, software, research citations, or embedded content. Ownership of those materials remains with the applicable third-party rights holder.

 

“Parent Homework Buddy,” “PHB,” PHB logos, course names, product names, and related branding may not be used without prior written permission from Parent Homework Buddy, LLC.

 

13. User Conduct

When using the Site or Services, you agree not to:

 

● Use the Services for an unlawful, fraudulent, or abusive purpose

● Violate another person’s privacy or intellectual-property rights

● Share confidential school, health, or personal information without proper authority

● Upload or transmit malware, viruses, harmful code, or disruptive technology

● Attempt to gain unauthorized access to the Site, another account, or PHB systems

● Circumvent security or access controls

● Scrape, crawl, data-mine, or automatically extract Site content without permission

● Interfere with the operation of the Site

● Misrepresent your identity or relationship with PHB

● Make false claims that PHB endorses or is affiliated with you

● Use PHB content to create a competing product or service

● Harass, threaten, abuse, or discriminate against another person

● Submit defamatory, obscene, unlawful, or intentionally misleading content

● Use the Services in a way that could harm a child or another person

14. User Submissions and Community Features

PHB may offer features that allow users to submit:

 

● Questions

● Comments

● Reviews

● Testimonials

● Photographs

● Stories

● Survey responses

● Discussion posts

● Other content

 

These materials are referred to as “User Submissions.”

 

You retain ownership of original content that you submit.

 

By submitting content through a public or community feature, you grant PHB a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, and distribute the content as reasonably necessary to operate, moderate, and provide that feature.

 

PHB will obtain additional permission when required before using a testimonial, photograph, child-related story, or other personal submission in paid advertising or promotional marketing.

 

You represent that:

 

● You created the User Submission or have permission to submit it

● The submission does not violate another person’s rights

● The submission is accurate to the best of your knowledge

● You have obtained any legally required permissions

● The submission complies with these Terms

 

Do not submit:

 

● A child’s full name

● A child’s home address

● A child’s school name when it could identify the child

● Student identification numbers

● School login information

● Education records

● Medical records

● Therapy records

● Detailed diagnostic information

● Another person’s contact information

● Photographs or videos of another person’s child without permission

● Information that could create a safety or privacy risk

● Content that you are not legally authorized to share

 

PHB does not guarantee that User Submissions are confidential unless PHB expressly agrees otherwise in writing.

 

PHB may review, reject, edit for formatting, restrict, or remove User Submissions at its discretion. PHB is not required to monitor all submissions and does not endorse advice, opinions, or claims posted by users.

 

Information shared by another parent or community member is not professional advice and should not replace guidance from a qualified professional.

 

15. Feedback and Suggestions

You may voluntarily provide suggestions, ideas, comments, or feedback about PHB.

 

By providing general feedback, you give PHB permission to use and consider that feedback without restriction or payment to you.

 

This provision does not transfer ownership of your confidential information, personal story, photograph, testimonial, or independently created materials.

 

16. Affiliate Links, Advertising, and Sponsored Content

 

The Site, newsletters, social-media accounts, courses, or other PHB content may contain:

 

● Affiliate links

● Product recommendations

● Sponsored content

● Paid partnerships

● Advertisements

● Discount codes

● Other commercial relationships

 

PHB may receive a commission, free product, payment, discount, or another benefit when you click certain links or make a purchase. Unless otherwise stated, this does not increase the price you pay.

 

PHB will disclose material relationships where required.

 

PHB’s receipt of compensation does not guarantee a positive review or recommendation.

 

Product recommendations reflect PHB’s opinion at the time they are made. You remain responsible for deciding whether a product is safe, appropriate, and useful for your family.

 

Third-party products are governed by the seller’s own terms, warranties, return policies, safety instructions, and privacy practices.

 

17. Testimonials, Reviews, and Examples

The Site may include testimonials, reviews, examples, success stories, or case studies.

 

These materials reflect the experiences and opinions of the individuals who provided them. They are not promises or guarantees that another family will receive the same or similar results.

 

Results vary based on many factors, including:

 

● The child’s needs

● The family’s circumstances

● The consistency of implementation

● The school environment

● The nature of the academic challenge

● The involvement of teachers or other professionals

 

PHB may edit testimonials for spelling, grammar, clarity, or length, but will not knowingly change their material meaning.

 

PHB will obtain appropriate permission before publishing personally identifying testimonials, photographs, or child-related stories.

 

PHB may decline, remove, or correct reviews that are fraudulent, unlawful, misleading, abusive, or unrelated to a genuine experience.

 

18. Recurring Subscriptions and Automatic Renewal

This section applies only if PHB offers a membership, subscription, or other automatically renewing service and you expressly enroll in that service.

 

The applicable sales page and checkout screen will disclose:

 

● The amount charged

● The billing frequency

● Whether the subscription renews automatically

● The length of any initial term

● The length of each renewal term

● Any free-trial or promotional period

● How and when to cancel

● Any material restrictions

● When cancellation becomes effective

 

By affirmatively enrolling in an automatically renewing service, you authorize PHB and its payment processor to charge the payment method you provide at the disclosed interval until you cancel.

 

PHB will provide an acknowledgment containing the applicable subscription terms and cancellation information in a form that you can retain.

 

You may cancel through the method described at checkout, through your account when available, or by contacting [Insert Customer Support Email].

 

Unless otherwise stated at checkout:

 

● Cancellation prevents future renewal charges

● Cancellation does not ordinarily result in a prorated refund for a current billing period

● You may continue using the subscription until the end of the paid billing period

● Access ends when the paid billing period expires

 

PHB will provide any renewal notices, price-change notices, cancellation methods, or refunds required by applicable law.

 

PHB will not enroll you in a recurring subscription unless the recurring nature of the charge is clearly disclosed and you affirmatively consent.

 

If PHB does not offer recurring subscriptions at the time you use the Site, this section does not apply to your purchase.

 

19. Third-Party Websites, Products, and Services

 

The Site may contain links to third-party websites, products, applications, embedded content, payment processors, social-media platforms, or other services.

 

PHB does not control and is not responsible for:

 

● Third-party content

● Availability

● Security

● Accessibility

● Accuracy

● Privacy practices

● Terms

● Products

● Services

● Customer support

 

A link does not necessarily mean that PHB endorses or is affiliated with the third party.

 

Your interactions with a third party are governed by that party’s terms, policies, warranties, and practices.

 

20. Site Availability, Maintenance, and Technical Requirements

PHB makes reasonable efforts to keep the Site and Services available. However, PHB does not guarantee that access will always be uninterrupted, error-free, secure, or compatible with every device, browser, operating system, internet connection, or assistive technology.

 

Access may be interrupted because of:

 

● Scheduled maintenance

● Emergency maintenance

● Hosting or platform outages

● Internet-service disruptions

● Cybersecurity concerns

● Software updates

● Third-party service failures

● Events outside PHB’s reasonable control

 

PHB may correct errors, update materials, modify features, reorganize content, or temporarily restrict access when reasonably necessary.

 

You are responsible for maintaining:

 

● A compatible device

● Reliable internet access

● Current software

● A valid email address

● Any applications reasonably required to access the Services

21. Electronic Communications

By creating an account, making a purchase, submitting a form, or contacting PHB electronically, you consent to receive transactional communications electronically.

 

Transactional communications may include:

 

● Purchase receipts

● Course-access instructions

● Account notices

● Password-reset messages

● Shipping updates

● Customer-service responses

● Security notices

● Legal or policy notices

 

Transactional communications are separate from marketing communications.

 

When required, PHB will obtain appropriate consent before sending marketing emails. Marketing emails will include an available unsubscribe method.

 

Unsubscribing from marketing communications will not prevent PHB from sending necessary transactional or account-related messages.

 

22. Privacy and Information Collected

23. Disclaimer of Warranties

PHB does not make any express or implied warranty regarding:

● Accuracy or completeness in every circumstance

● Uninterrupted access

● Error-free operation

● Compatibility with every device

● Suitability for a particular child

● Fitness for a particular purpose

● Results from following a strategy

● The conduct or statements of third parties or other users

 

PHB does not warrant that the Services will meet every user’s expectations or that all errors will be corrected immediately.

 

Some jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions, the exclusions apply only to the extent permitted by law.

 

Nothing in these Terms excludes or waives a warranty or consumer right that cannot lawfully be excluded or waived.

 

24. Limitation of Liability

To the fullest extent permitted by law, Parent Homework Buddy, LLC and its members, managers, officers, employees, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to:

 

● Your use of or inability to use the Services

● Your reliance on PHB content

● Decisions made using PHB materials

● A child’s response to a strategy

● Loss of data

● Loss of profits or business opportunity

● Unauthorized account access

● Third-party products or services

● User Submissions

● Site interruptions

 

To the fullest extent permitted by law, PHB’s total aggregate liability for a claim arising from or relating to a purchased Service will not exceed the amount you paid to PHB for the specific Service giving rise to the claim during the 12 months before the event giving rise to the claim.

 

For claims unrelated to a paid Service, PHB’s total aggregate liability will not exceed $100.

 

These limitations apply regardless of the legal theory asserted and even if PHB was advised that damages were possible.

 

Nothing in these Terms excludes, limits, or waives liability, remedies, warranties, or consumer rights that cannot lawfully be excluded or limited.

 

25. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Parent Homework Buddy, LLC and its members, managers, officers, employees, contractors, agents, licensors, and service providers from third-party claims, liabilities, losses, damages, judgments, costs, and reasonable legal fees arising from:

 

● Your unlawful use of the Site or Services

● Your material violation of these Terms

● Your infringement of another person’s intellectual-property, privacy, or other rights

● User Submissions that you provide

● Your unauthorized distribution or commercial use of PHB content

● Fraudulent activity conducted through your account

 

This obligation does not apply to the extent that a claim results from PHB’s own unlawful conduct, negligence, or willful misconduct.

 

PHB may assume control of the defense of a covered claim. You agree to provide reasonable cooperation in that defense.

 

26. Governing Law and Venue

 

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

 

Subject to any consumer right that cannot lawfully be waived, any legal action arising from or relating to these Terms or the Services will be brought in a state court located in Knox County, Tennessee, or in the applicable federal court serving Knox County, Tennessee.

 

You and PHB consent to the personal jurisdiction of those courts.

 

Before filing a legal action, you and PHB agree to make a reasonable, good-faith effort to resolve the dispute informally.

Nothing in this section prevents either party from seeking appropriate emergency or injunctive relief when necessary to prevent immediate harm or intellectual-property infringement.

 

27. Changes to These Terms

 

PHB may revise these Terms from time to time.

 

The updated Terms will be posted on the Site with a revised “Last Updated” date.

 

When changes materially affect existing purchases, recurring charges, account access, dispute procedures, or user rights, PHB may provide additional notice through email, an account notice, a Site notice, or another appropriate method.

 

Unless otherwise stated or required by law, revised Terms apply prospectively from their effective date.

 

Changes will not retroactively reduce a customer’s material rights associated with a completed purchase unless permitted by law and appropriately disclosed.

 

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms.

 

If you do not agree to revised Terms, you must stop using the Services. Rights associated with a prior purchase will remain subject to applicable law and any terms that governed that purchase.

 

28. General Provisions

 

28.1 Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, applicable product descriptions, and any additional terms presented at checkout, constitute the entire agreement between you and PHB regarding the Services.

 

If product-specific terms conflict with these general Terms, the product-specific terms will control for that product to the extent of the conflict.

 

28.2 Severability

 

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

 

The invalid or unenforceable provision will be modified or enforced to the greatest extent permitted by law while preserving its original purpose as closely as possible.

 

28.3 No Waiver

PHB’s failure to enforce a provision of these Terms does not waive PHB’s right to enforce that provision or another provision later.

 

A waiver is effective only when made in writing by an authorized representative of PHB.

 

28.4 Assignment

 

You may not assign or transfer your rights or obligations under these Terms without PHB’s prior written consent.

 

PHB may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or transfer of all or substantially all of the relevant business.

 

28.5 No Partnership or Agency

These Terms do not create an employment, partnership, joint venture, fiduciary, franchise, or agency relationship between you and PHB.

 

28.6 Headings

 

Section headings are provided for convenience and do not limit or alter the meaning of these Terms.

 

28.7 Force Majeure

 

PHB will not be responsible for a delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, labor disputes, utility failures, internet outages, platform failures, governmental actions, public-health emergencies, or interruptions involving third-party providers.

 

This provision does not excuse obligations that cannot lawfully be limited.
